General Terms and Conditions (GTC)

1. Scope
These General Terms and Conditions (GTC) govern all contracts, deliveries, and services between Vistoria Media Works, Kirchweg 3, 47447 Moers, Germany (hereinafter referred to as "Agency") and its clients (hereinafter referred to as "Client"). Any conflicting terms and conditions proposed by the Client shall not be acknowledged unless the Agency explicitly consents to their validity in writing.
2. Subject of the contract
The agency offers services in marketing, public relations, branding, event management, design,
social media, content creation, and associated communication services. The precise scope of
services is outlined in the relevant proposal, contract, or order confirmation.
3. Contract Conclusion
A contract is established when the client accepts an offer from the agency in writing or in text form (e.g., via email). Any amendments or additions to the contract must also be documented in writing.
4. Scope of Services and Obligations for Collaboration
The agency delivers its services to the best of its knowledge and belief, relying on the information supplied by the client. The client is required to furnish all data, documents, and information essential for the execution of the order in a timely and comprehensive manner. Delays arising from incomplete or tardy cooperation are not the agency's responsibility.
5. Compensation and payment terms
1. The compensation is determined by the price stipulated in the offer or contract.
2. All prices are net, exclusive of statutory VAT, unless otherwise specified.
3. Invoices are due for payment within 14 days from the invoice date without any deductions, unless an alternative agreement has been established.
4. In the event of late payment, the agency reserves the right to impose default interest at the statutory rate.
5. The agency retains the right to request reasonable advance or partial payments for extensive projects.
6. Rights of Use
1. Upon complete payment of the agreed remuneration, the agency confers upon the client basic usage rights for the created works, to the extent necessary for the contractually stipulated use.
2. Any transfer or assignment of usage rights to third parties necessitates the written consent of the agency.
3. Designs, concepts, and presentations shall remain the property of the agency until full payment has been received.
4. The agency is authorized to utilize the work it has produced for its own promotional purposes, unless the client explicitly objects.
7. Title Retention
Until all claims resulting from the contractual relationship have been fully settled, the materials, data, and works delivered shall remain the property of the agency.
8. Liability
1. The agency is liable solely for damages arising from intentional or grossly negligent actions.
2. The agency is liable for minor negligence solely in cases of a breach of essential contractual obligations (cardinal obligations), and only to the extent of foreseeable, typical contractual damages.
3. Liability for indirect damages, lost profits, or consequential damages is hereby excluded.
4. The agency assumes no responsibility for the content, materials, or data supplied by the client.
9. Confidentiality
Both parties agree to maintain the confidentiality of all information disclosed during the course of the collaboration and to refrain from sharing it with third parties.
10. Information security
The agency handles personal data solely in compliance with relevant data protection legislation. Additional details are available in the privacy policy at www.vistoria.de.
11. Termination
Contracts may be terminated by either party for just cause without prior notice. Ordinary termination is permissible only if explicitly stipulated in the contract.
12. Concluding Provisions
1. The legislation of the Federal Republic of Germany is applicable.
2. The jurisdiction for all disputes arising from the contractual relationship shall, to the extent permitted by law, be Moers.
3. Should any individual provision of these terms and conditions be deemed invalid, the validity of the remaining provisions shall remain intact.
4. Modifications and additions to these terms and conditions must be documented in writing.
